Quick answer
Before accepting or signing a South African settlement offer, confirm the parties and authority, identify every claim being compromised, calculate the net value, test payment and default mechanics, and understand the release, admission, confidentiality, costs, tax, enforcement and court-process clauses. Compare the offer with the current legal position and practical recovery risk. Preserve the complete negotiation record and do not assume talks pause prescription, a court date or a statutory referral period.
How to use this guide
A settlement is a contract. Once validly concluded, it may finally replace disputed rights with the agreed obligations. “Subject to contract”, “without prejudice”, email acceptance and signature wording can have different effects. Do not sign first and plan to clarify later.
Identify the parties and authority
Use full legal names, registration or identity numbers, capacities and addresses. Distinguish a company, shareholder, director, insurer, employer, estate, trust, public body and individual. If a representative signs, record the mandate, resolution, power or court appointment supporting authority.
Authority is not a formality. In Moraitis Investments v Montic Dairy, the Supreme Court of Appeal dealt with authority and an existing consent order. A person’s role or family relationship does not automatically empower them to release another party’s claims.
Check whether all necessary parties are included. A settlement with one respondent may or may not release another, depending on wording and law. Do not use “the group”, “management” or a trading name where the actual obligor is uncertain.
Define the dispute and scope of release
Attach or describe the underlying agreement, event, proceedings, claim number and disputed period. Then read every release, waiver, abandonment and “full and final settlement” clause word by word.
Ask:
- Does the release cover only pleaded claims or every known and unknown claim?
- Does it include future consequences or later-discovered loss?
- Are counterclaims, interest, costs and third-party claims included?
- Does payment trigger the release, or does signature release rights immediately?
- Are statutory rights being waived, and is that lawful in this context?
- Does a non-admission clause conflict with any required correction or apology?
A broad compromise can be binding even where one party later regrets the bargain. The Constitutional Court in Eke v Parsons explains that a settlement made an order of court must relate to the litigation, comply with law and public policy, and hold some practical advantage. Not every private agreement can or should be made a court order.
Calculate the real value
Create a schedule for principal, interest, legal costs, tax, benefits, reinstatement, return of property, confidentiality obligations and timing. Compare the gross headline amount with the net amount and the cost and delay avoided.
For instalments, specify each date, banking details, allocation and proof. Decide whether the settlement becomes final on signature, first payment or full performance. Check whether interest continues, whether early payment is allowed and what happens if a date falls on a non-business day.
Tax treatment depends on the nature of the payment and the parties. Do not accept a clause saying “tax free” without competent tax analysis. If one party must withhold or issue a directive or certificate, allocate responsibility and timing without promising the authority’s decision.
Test default and enforcement mechanics
Define breach precisely. A sensible clause can provide notice, an opportunity to cure, acceleration, interest, costs or restoration of proceedings, but every consequence must be lawful and internally consistent.
Avoid a default clause that lets one side claim the original disputed amount plus retain every settlement benefit without credit. Check whether a confession to judgment, consent order, arbitration award or other enforcement mechanism is proposed and whether the forum has power to grant it.
If proceedings exist, state who will file withdrawal, postponement, draft order or satisfaction notice and when. A private promise does not itself change a court order. Once a settlement is made an order, it has public-law and enforcement consequences beyond an ordinary contract and cannot simply be ignored or privately rewritten.
Review confidentiality, non-disparagement and information terms
Identify what is confidential: the amount, negotiations, evidence, trade information, personal data or the fact of settlement. Add workable exceptions for legal and tax advisers, auditors, insurers, regulators, courts and disclosures required by law.
Non-disparagement should not prohibit truthful protected disclosure, evidence to a regulator or compliance with a subpoena. A return or deletion clause should preserve records that law, professional duties, tax, litigation or insurance requires a party to keep.
Do not assume the words “without prejudice” make every communication secret or inadmissible for every purpose. The rule is context-specific, and a concluded settlement may need to be proved. Keep negotiations separate from the signed final version.
Check how acceptance occurs
The Electronic Communications and Transactions Act 25 of 2002 recognises data messages and electronic transactions and addresses electronic signatures. But legislation, the parties’ chosen formalities or the subject matter may require a particular kind of signature or writing. Some settlements can be concluded orally or by email; others need signed documents or court approval.
Make the offer state its expiry trigger, accepted method and whether it is subject to a final written agreement. Avoid saying “agreed” in an email if material terms remain open. If changes are proposed, they may amount to a counter-offer rather than acceptance.
Keep the final execution copy, signature audit, board authority and delivery proof. Check that annexures, payment schedules and marked-up changes match across every counterpart.
Preserve deadlines while negotiating
The Prescription Act 68 of 1969 contains rules on different debt periods, acknowledgment and judicial interruption. Negotiation or exchange of offers does not automatically interrupt prescription. Nor does it automatically postpone a CCMA, SARS, NCT, appeal or court date.
Create a separate deadline table showing the source, trigger, calculation and protective step. If a standstill is proposed, obtain advice on validity, scope and whether the relevant law permits it. Do not rely on a verbal assurance that “nothing will happen while we talk”.
Compare settlement with realistic alternatives
Assess merits, evidence, recoverability, costs, delay, publicity, relationship and enforcement. A lower certain payment may outperform a larger uncertain judgment, but only if the payer and mechanism are reliable. Non-financial terms may carry significant value or risk.
Ask the lawyer for written scope: document review only, negotiation, tax input, court order, implementation or enforcement. Clarify what claims were not reviewed. A review does not guarantee the other party will accept changes or perform.
Important limitation
This is general information. Validity, authority, scope, tax, statutory waivers, privilege, enforcement, court approval, existing orders and deadline protection depend on the dispute and final wording.
FAQs
Does “full and final settlement” release every possible claim?
Its effect depends on the text, context, parties and law. Identify the dispute, released claims, time period, unknown claims, third parties, counterclaims and whether release occurs on signature or performance.
Can I accept a settlement by email without signing?
Possibly. Electronic communications can form contracts, but the offer, governing agreement, statute and intended formalities matter. Do not send unconditional acceptance while material terms or required signatures remain unresolved.
Does signing a settlement automatically end an existing court case?
No. The agreement should allocate withdrawal, postponement or consent-order steps. A court order remains effective until changed through a competent process, and a private settlement does not itself erase it.
Do settlement negotiations stop prescription?
Do not assume they do. A particular acknowledgment or judicial process may affect prescription, but ordinary offers and negotiation do not necessarily interrupt it. Protect the deadline independently.
