Quick answer
Avoid sending a legal letter until you have identified the operative agreement, exact parties, authority to speak, notice method, alleged obligation, supporting facts, desired remedy and deadline. Do not admit liability, waive a defence, accept an alleged repudiation, cancel prematurely, claim unsupported damages or interest, threaten a forum the contract does not allow, or assume that a demand stops prescription. Separate an open contractual notice from any genuine settlement proposal and preserve the evidence showing what was sent, when, how and to whom.
How to use this guide
This article is the later dispute-and-escalation outlier in the pre-signing service-agreement family. A legal letter usually becomes relevant only after negotiations, performance, non-payment or an alleged breach. If no agreement has yet been concluded, label the communication accurately as a proposal, negotiation response or withdrawal rather than using breach and cancellation language that presupposes a binding contract.
Do not write before identifying the operative contract
Gather the signed agreement or best evidence of formation, every statement of work and service level, amendments, purchase orders, applicable online terms and the communications relied on as changes. Confirm which version applied on the relevant date and which document prevails if they conflict. A quotation, portal term or email may matter, but its effect depends on incorporation, acceptance and the agreed hierarchy.
South African contract interpretation reads text with context and purpose. Quote the relevant obligation and notice clause rather than paraphrasing from memory. Check whether the agreement requires negotiation, a cure notice, expert determination or another step before termination, arbitration or court proceedings.
Also verify the exact legal entity on each side. A demand sent to a trading name, old group company or wrong registration number can create delivery and enforcement problems. Confirm who has authority to send the notice, accept a proposal, waive a right or settle. A manager authorised to report operational defects may not have authority to cancel the contract or compromise a substantial claim.
Do not ignore the contractual notice method
Read the notices clause word for word. Record the chosen physical or email address, named recipient, permitted method, deemed-delivery rule, business-day calculation and any requirement for simultaneous copies. Check whether a change of address was validly notified. If the clause distinguishes routine communications from formal notices, use the formal route for the intended legal step.
ECTA gives data messages legal recognition subject to its requirements and other applicable formalities, but it does not make every email contractually effective. Send through the agreed channel and retain the sent message, attachments, delivery evidence and an exact final copy. Avoid hidden link-only documents that may later change, vague subject lines and attachments whose version cannot be proved.
Calculate the cure period from the correct trigger. Do not casually convert business days to calendar days, count the sending day without checking, or demand performance before it is due. If urgency requires parallel delivery, say which communication is the contractual notice and keep consistent wording across channels.
Do not make unnecessary admissions or concessions
Avoid narrative padding that accepts disputed dates, performance, quality, amounts or responsibility. Statements such as “we know we were late, but,” “we owe the balance,” or “our team caused the failure” may carry consequences beyond a cooperative tone. Distinguish undisputed facts, allegations, assumptions and matters still under investigation.
Do not promise payment, replacement work, extended time or a new scope without checking whether the writer has authority and whether the promise would vary the agreement. If the business wants to preserve a defence while making a practical proposal, state the purpose carefully and obtain advice where the concession is material.
Avoid broad reservations copied from a template as a substitute for accuracy. “All rights reserved” does not undo a clear admission, election or promise elsewhere in the letter. List the specific rights or issues that remain open where that clarity is necessary.
Do not accept repudiation or cancel without analysing the election
A statement or conduct suggesting future non-performance may amount to repudiation, but the classification is fact-sensitive. Datacolor International v Intamarket explains that repudiation and the aggrieved party's election have real consequences. The contract does not simply disappear because one party alleges that the other will not perform.
Before sending language such as “we accept your repudiation” or “the agreement is cancelled with immediate effect,” identify the conduct relied on, its seriousness, the contractual termination right, any required cure and whether continued performance is still wanted. Premature cancellation can itself be treated as repudiatory conduct.
Keep operational protection separate from final election. It may be appropriate to demand clarity, reserve the position, preserve systems or mitigate loss while obtaining advice. Do not continue demanding full performance after unequivocally cancelling without understanding whether those positions are consistent.
Do not claim damages, penalties or interest without a calculation
Specify whether the letter seeks a fixed debt, unpaid invoice, refund, restitution, contractual service credit, penalty, actual damages, specific performance or another remedy. Each has different factual and legal requirements. Attach or describe the invoices, acceptance evidence, credit notes, payments and calculation source.
For damages, connect each amount to the alleged breach and supporting record. Avoid speculative future revenue, rounded reputational loss, duplicated replacement costs or tax treatment that has not been checked. Record steps taken to limit loss. If the contract contains a cap, exclusion, indemnity, service-credit regime or exclusive-remedy clause, address it rather than claiming around it silently.
If claiming interest, identify the contractual or statutory basis, principal sum, start date, rate and whether the calculation is simple or compound. The Prescribed Rate of Interest Act may provide a framework where no other rate governs, but the applicable rate must be checked at the relevant time. Do not insert an old internet rate or state that attorney-and-client costs are automatically recoverable.
Do not use unsupported accusations or threats
Describe provable conduct: missed milestone, unapproved charge, unavailable system, refused access or unpaid invoice. Avoid calling a commercial disagreement fraud, theft, extortion, corruption or criminal conduct without a proper factual and legal basis. Do not threaten criminal, regulatory or media action merely to force payment.
Name only remedies and forums that are realistically available. Inflated claims and indiscriminate threats can distract from the contractual breach, harden the dispute and create fresh risk. A firm letter is more credible when each requested step, amount and deadline can be traced to a clause, record or applicable process.
Do not assume the words “without prejudice” create privilege
Separate open notices from genuine settlement communications. A breach or cancellation notice often needs to be provable and relied upon later. A settlement proposal may be intended to encourage compromise. Combining both in one letter can create uncertainty about what may be used and whether the contractual step was effectively communicated.
The phrase “without prejudice” is not a magic label. The protection generally concerns genuine efforts to settle an existing dispute, and its scope depends on the substance and context. KLD Residential v Empire Earth Investments also shows that an acknowledgment of liability made during without-prejudice negotiations may be admitted for the limited purpose of interrupting prescription under section 14 of the Prescription Act.
Do not assume copying a lawyer makes the underlying business record privileged. Keep requests for legal advice, counsel's advice, open operational communications and settlement proposals in appropriate channels. Circulate sensitive advice only to those who need it, and do not quote it into the demand unless the consequence has been considered.
Do not assume a demand stops prescription
An ordinary letter of demand does not generally interrupt prescription. Section 15 of the Prescription Act concerns service on the debtor of process by which the creditor claims payment, while section 14 deals with express or tacit acknowledgment of liability. The due date, debt type, knowledge, delay provisions and any acknowledgment require factual analysis.
Create a deadline sheet before negotiating. Include statutory prescription, contractual time bars, cure periods, invoice objections, renewal windows, arbitration referrals and court deadlines. Barkhuizen v Napier shows that contractual time bars engage public-policy analysis, but a party should not ignore an agreed period and assume a court will excuse non-compliance.
If prescription or another deadline may be close, do not let an unanswered demand or ongoing settlement discussion substitute for advice and the correct protective step. A proposal to suspend time should be explicit and professionally reviewed.
Do not threaten the wrong forum
Check whether the agreement requires executive negotiation, mediation, expert determination, domestic or international arbitration, or litigation in a specified court. Identify the arbitration rules, seat, appointing mechanism and urgent-relief provision. The Arbitration Act governs domestic written arbitration agreements; a court threat may be inconsistent with the agreed route even though urgent or enforcement relief may still require separate analysis.
Confirm practical jurisdiction rather than relying only on a governing-law clause. Also check whether the claimed amount, party location and cause of action fit the named forum. Avoid setting a response deadline that is shorter than the contract's cure process while simultaneously threatening proceedings that cannot yet be started.
Use a controlled pre-send record
Prepare a one-page sign-off containing the operative contract version, parties, authority, clause relied on, breach facts, notice method, calculation, requested remedy, deadline, forum and privilege classification. Have someone independent compare the final letter and attachments with that record.
Save the signed or approved final version, proof of dispatch and delivery, attachments and any response. Preserve relevant emails, messages, service reports, system logs, invoices and payment records without editing originals. A precise letter should narrow the dispute and protect the next step; it should not create a new argument about authority, notice, admissions, cancellation or deadlines.
Important limitation
This is general South African dispute-preparation information. It does not decide whether a contract exists, whether a breach or repudiation occurred, whether cancellation is available, whether a communication is privileged, whether a debt has prescribed or which forum has jurisdiction.
FAQs
Does a service-agreement letter of demand stop prescription in South Africa?
Not ordinarily. The Prescription Act distinguishes interruption by acknowledgment from interruption through service of qualifying process. Do not let an unanswered demand or settlement discussion substitute for deadline-specific advice.
Can marking a service-agreement letter without prejudice prevent every later use?
No. The substance and context determine whether genuine settlement protection applies, and exceptions can matter. Keep an open contractual notice separate from a settlement proposal where both functions are needed.
Should I cancel immediately if the other party appears to repudiate the service agreement?
Not without analysing the conduct, seriousness, termination clause, cure requirements and desired election. Premature or ineffective cancellation can create additional exposure, so preserve the position while obtaining advice where consequences are material.
What should I check before claiming damages in a service-agreement letter?
Identify the breached obligation, causal link, remedy, calculation and supporting records. Check caps, exclusions, service credits, penalties and duplicated amounts, and separate a fixed debt or refund from unproven damages.
