Quick answer
Before calling a lawyer, turn the draft into a one-page contract map. Identify the exact parties and signatories, the promised services, measurable deliverables, acceptance process, price mechanics, dependencies, change control, intellectual-property and data handling, risk allocation, term, exit rights and dispute forum. Mark every blank, conflict, undefined term and attachment that has not been supplied.
How to use this guide
Do not sign, authorise work or say the agreement is “acceptable subject to small changes” while material points remain open. South African contract questions depend on the actual wording, incorporated documents, surrounding transaction and applicable legislation. A self-check should help a lawyer focus; it should not be treated as a legal opinion or a guarantee that the contract will perform as expected.
Verify the contracting parties and authority
Copy each party's registered name, registration or identity number, entity type, address for notices and tax details into the map. Distinguish a company from its brand, trading name, shareholder or related group company. If performance will be delivered by an affiliate or subcontractor, ask which entity remains responsible and which one will invoice.
For a company, record the proposed signatory's name, position and claimed authority. The Companies Act places management of a company's affairs under its board, subject to the Act and memorandum of incorporation, but authority can involve board decisions, delegations and third-party reliance rules. A CIPC disclosure record confirms entity information; it does not by itself prove that a particular employee may bind the company to this transaction. Ask for proportionate authority evidence where the value or risk warrants it.
Convert the service description into testable obligations
Underline every verb that creates performance: design, host, maintain, advise, deliver, respond, secure, migrate or support. For each, record the output, standard, quantity, delivery date, location, responsible party and evidence of completion. Separate an objective deliverable from an aspiration such as “best in class” or “business growth.”
Check schedules, proposals, statements of work and service levels against the main agreement. Decide which document prevails if they conflict. South African interpretation considers text, context and purpose together, as the Constitutional Court explained in University of Johannesburg v Auckland Park Theological Seminary. Clear hierarchy and defined terms reduce the need to reconstruct that context after a dispute.
Test acceptance and change control
Ask what starts acceptance, who tests, what criteria apply, how defects are reported and what happens if the customer says nothing. A deemed-acceptance clause should not make acceptance automatic before the customer has a usable review period and the required information. For ongoing services, distinguish initial acceptance from monthly performance monitoring.
Map the change process: who may request a change, what impact estimate must be given, who approves price and timing, and when the change becomes binding. Email and platform approvals can have legal and evidential consequences. The Electronic Communications and Transactions Act recognises data messages and electronic contracting, subject to the parties' agreed formalities and statutory exceptions. Avoid assuming that only a wet-ink signature can vary the deal, or that every casual message necessarily does so.
Recalculate the commercial model
Create a worked example for the first three invoices and a change request. Include the base fee, units, rate changes, expenses, deposits, taxes, currency, exchange-rate source, invoicing milestone, payment date, disputed-amount process and interest or collection charges. Confirm whether quoted prices include VAT rather than guessing from a single number.
Check whether minimum commitments, automatic renewals, early-termination charges or service credits change the apparent price. If payment is deferred and interest, fees or other credit features are included, have National Credit Act scope checked rather than labelling every ordinary invoice a credit agreement. Likewise, do not assume the Consumer Protection Act applies: the parties, transaction, ordinary course of business, juristic-person threshold and statutory exclusions matter.
Trace intellectual property, confidentiality and data
List what each party brings into the project, what will be created, who may use it during the term and what happens after termination. Payment for work does not automatically answer copyright ownership. The Copyright Act contains work-specific ownership rules and requires a copyright assignment to be in writing and signed by or on behalf of the assignor. Distinguish assignment from a licence, and define territory, duration, media, modification rights, sublicensing and use of pre-existing tools.
For confidential information, check the definition, exclusions, permitted recipients, security, compelled disclosure, duration and return or deletion process. If personal information will be processed, identify the responsible party and any operator, purpose, categories, security responsibilities, incident cooperation, retention and cross-border transfers. POPIA duties arise from the real processing arrangement, not from inserting the word “POPIA-compliant.”
Read the risk clauses as a connected system
Put warranties, indemnities, exclusions, liability caps, insurance and remedies next to each other. Ask which losses are excluded, which claims sit outside the cap, whether the cap is per event or aggregate, and whether it is tied to fees paid during a short period. Test the clauses against realistic events: missed launch, corrupt data, third-party IP claim, confidentiality breach, personal injury or prolonged outage.
Consumer Protection Act provisions on unfair terms, notice and prohibited clauses may matter where that Act applies; they should not be converted into a universal ban on all limitations or indemnities. Verify insurance directly from the policy or broker evidence. A contractual promise to carry insurance is not proof that the relevant event, amount or territory is covered.
Follow the contract through renewal, breach and exit
Record the initial term, renewal mechanism, notice window, termination for convenience, breach notice, cure period, immediate-termination grounds and post-termination duties. Check how data, work in progress, prepaid amounts, customer materials, licences and transition assistance are handled on exit.
Finally, identify the governing law, court jurisdiction, negotiation or mediation steps and any arbitration clause. Note the address, method and timing rules for contractual notices. Do not assume an ordinary email is sufficient if the agreement prescribes another method, or that a dispute clause removes the need for urgent court protection.
Prepare the lawyer handover
Send the clean draft, marked draft, every incorporated document, the contract map and a short priority list. State the desired commercial outcome, non-negotiable risks, signing date and whether work has already started. Highlight which conditional regimes may be relevant—consumer, electronic contracting, credit, personal information, competition or regulated-sector rules—without asserting that any applies before the transaction is classified.
The best result from the call is a ranked issue list and revised language tied to the real deal. It is not a generic assurance that the agreement is safe.
Important limitation
This is general South African information for organising a pre-signing review. It does not determine authority, statutory coverage, enforceability or the correct drafting for a particular transaction.
FAQs
Does a CIPC company record prove that the proposed signatory can bind the company?
No. It helps verify the entity, but authority may depend on the board, memorandum of incorporation, delegations and applicable third-party reliance rules. Ask for proportionate authority evidence for the transaction.
Should a service agreement define acceptance even for ongoing work?
Yes. Separate acceptance of initial deliverables from continuing service levels, specify objective tests and defects, and state what silence or continued use means instead of leaving acceptance implied.
Does paying for commissioned work automatically transfer its copyright?
Not necessarily. Copyright ownership depends on the work and statutory rules, while an assignment must satisfy the Copyright Act's written-signature requirement. Define any assignment or licence expressly.
Can I rely on a standard cancellation period for every service agreement?
No. Contract terms and any statutory cancellation right depend on the parties, transaction, method of contracting and coverage or exclusions under laws such as the Consumer Protection Act and ECTA.
